1)is this statement correct
Gravitational potential of earth at every place on it is negative

it will be negative if we take refrence as infinity Won't it be changed if we change the refrence point

2)Assertion: Even when the orbit of satellite is elliptical its plane of rotation passes through the centre of earth
Reason:This is in accordance with principle of conservation of angular momentum

for 2 you'll have to think [12]me too thinking

if the plane does not pass through the center then there will be a torque na.........

so looks alright in the first look.....
